1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the Transportbidder website (transportbidder.com), mobile applications (User App and Driver App), and all related services (collectively, the "Platform") operated by Transportbidder S.A.C. ("Transportbidder," "we," "us").

By accessing or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

These Terms apply to all visitors, users, and others who access the Platform, whether or not they have registered accounts. Registered users are also subject to the applicable app-specific Terms and Conditions.

2. Platform Description

Transportbidder is a technology platform that facilitates connections between passengers seeking transportation and independent driver partners offering transportation services through a unique bidding system. Key aspects:

  • We are a technology intermediary, not a transportation company
  • We do not own vehicles or employ drivers
  • Fares are determined through a bidding system between users and drivers
  • We operate primarily in Peru

3. Website Use

3.1 Permitted Use

  • Browse informational content about Transportbidder services
  • Access legal documents and policies
  • Download our mobile applications via linked app stores
  • Access the account deletion page
  • Contact us via provided email addresses

3.2 Prohibited Use

  • Scraping, crawling, or automated extraction of website content
  • Attempting to access server infrastructure or non-public areas
  • Introducing malware, viruses, or harmful code
  • Overloading the website with excessive requests (DDoS or similar)
  • Using the website for any illegal purpose
  • Framing or mirroring the website without written permission
  • Removing or altering copyright notices or branding

4. Mobile Application Use

Use of our mobile applications is governed by the respective app-specific Terms and Conditions:

These Terms of Use apply in addition to the app-specific terms. In case of conflict, the app-specific terms prevail for app-related matters.

5. Intellectual Property

  • All content on the Platform — including text, graphics, logos, icons, images, audio, software, and design — is the property of Transportbidder S.A.C. or its licensors
  • Content is protected by Peruvian and international copyright, trademark, and intellectual property laws
  • The Transportbidder name, logo, and visual identity are registered trademarks
  • You may not use, reproduce, modify, distribute, or display any content without prior written consent, except for personal, non-commercial browsing
  • You may share links to our website pages

6. User-Generated Content

If you submit content through the Platform (ratings, reviews, feedback, support messages), you:

  • Grant Transportbidder a non-exclusive, royalty-free, worldwide license to use, display, and process that content for platform operations
  • Represent that the content is truthful, not defamatory, and does not violate third-party rights
  • Acknowledge that we may remove content that violates our guidelines
  • Retain ownership of your content but allow us to use it as described

7. Third-Party Links

Our Platform may contain links to third-party websites or services (Google Play Store, Apple App Store, Google Maps, government websites). We are not responsible for the content, privacy practices, or availability of these third-party sites. Accessing them is at your own risk and subject to their own terms.

8. Disclaimer of Warranties

  • The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
  • We do not warrant that the Platform will be uninterrupted, error-free, secure, or available at any particular time
  • We do not warrant the accuracy, completeness, or reliability of any content on the Platform
  • We do not warrant that the Platform is free of viruses or harmful components
  • We make no guarantees about the quality, safety, or legality of transportation services provided by Drivers

9. Limitation of Liability

To the maximum extent permitted by Peruvian law:

  • Transportbidder is not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for any loss or damage resulting from your use of or inability to use the Platform
  • We are not liable for acts or omissions of third-party service providers (Drivers, payment processors)
  • Our maximum aggregate liability for any claim shall not exceed S/. 1,000.00 (one thousand Peruvian Soles) or the amount you paid to Transportbidder in the preceding 12 months, whichever is greater

This does not affect non-waivable consumer rights under Peru's Ley 29571 (Código de Protección y Defensa del Consumidor).

10. Indemnification

You agree to indemnify and hold harmless Transportbidder S.A.C. from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law or third-party rights.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Peru. Any disputes shall be resolved through:

  1. Good-faith negotiation
  2. Mediation at a center recognized by Peru's Ministry of Justice
  3. Binding arbitration at the Lima Chamber of Commerce (if unresolved in 30 days), conducted in Spanish, seated in Lima

You retain the right to file complaints with INDECOPI or other competent authorities.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes are effective when posted on the Platform. Material changes will be highlighted with an updated effective date. Continued use after changes constitutes acceptance.

14. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

1. Aceptación de los Términos

Estos Términos de Uso ("Términos") rigen su acceso y uso del sitio web de Transportbidder (transportbidder.com), aplicaciones móviles (App de Usuario y App de Conductor) y todos los servicios relacionados (conjuntamente, la "Plataforma") operados por Transportbidder S.A.C. ("Transportbidder," "nosotros").

Al acceder o usar cualquier parte de la Plataforma, acepta estar sujeto a estos Términos. Si no está de acuerdo, no debe acceder ni usar la Plataforma.

Estos Términos aplican a todos los visitantes, usuarios y demás que accedan a la Plataforma, tengan o no cuentas registradas. Los usuarios registrados también están sujetos a los Términos y Condiciones específicos de la app.

2. Descripción de la Plataforma

Transportbidder es una plataforma tecnológica que facilita conexiones entre pasajeros que buscan transporte y socios conductores independientes que ofrecen servicios de transporte a través de un sistema único de licitación. Aspectos clave:

  • Somos un intermediario tecnológico, no una empresa de transporte
  • No poseemos vehículos ni empleamos conductores
  • Las tarifas se determinan por un sistema de licitación entre usuarios y conductores
  • Operamos principalmente en Perú

3. Uso del Sitio Web

3.1 Uso Permitido

  • Navegar contenido informativo sobre los servicios de Transportbidder
  • Acceder a documentos legales y políticas
  • Descargar nuestras aplicaciones móviles vía las tiendas enlazadas
  • Acceder a la página de eliminación de cuenta
  • Contactarnos vía las direcciones de correo proporcionadas

3.2 Uso Prohibido

  • Scraping, crawling o extracción automatizada de contenido
  • Intentar acceder a infraestructura de servidores o áreas no públicas
  • Introducir malware, virus o código dañino
  • Sobrecargar el sitio con solicitudes excesivas (DDoS o similar)
  • Usar el sitio para cualquier propósito ilegal
  • Enmarcar o duplicar el sitio sin permiso escrito
  • Eliminar o alterar avisos de copyright o marca

4. Uso de Aplicaciones Móviles

El uso de nuestras aplicaciones móviles se rige por los Términos y Condiciones específicos:

Estos Términos de Uso aplican además de los términos específicos de la app. En caso de conflicto, los términos de la app prevalecen para asuntos de la app.

5. Propiedad Intelectual

  • Todo el contenido de la Plataforma — incluyendo texto, gráficos, logos, iconos, imágenes, audio, software y diseño — es propiedad de Transportbidder S.A.C. o sus licenciantes
  • El contenido está protegido por leyes peruanas e internacionales de derechos de autor, marcas y propiedad intelectual
  • El nombre, logo e identidad visual de Transportbidder son marcas registradas
  • No puede usar, reproducir, modificar, distribuir ni exhibir contenido sin consentimiento previo escrito, excepto para navegación personal no comercial
  • Puede compartir enlaces a las páginas de nuestro sitio web

6. Contenido Generado por Usuarios

Si envía contenido a través de la Plataforma (calificaciones, reseñas, comentarios, mensajes de soporte), usted:

  • Otorga a Transportbidder una licencia no exclusiva, libre de regalías, mundial para usar, mostrar y procesar ese contenido para operaciones de la plataforma
  • Declara que el contenido es veraz, no difamatorio y no viola derechos de terceros
  • Reconoce que podemos eliminar contenido que viole nuestras guías
  • Retiene propiedad de su contenido pero nos permite usarlo como se describe

7. Enlaces de Terceros

Nuestra Plataforma puede contener enlaces a sitios o servicios de terceros (Google Play, Apple App Store, Google Maps, sitios gubernamentales). No somos responsables del contenido, prácticas de privacidad ni disponibilidad de estos sitios. Acceder a ellos es bajo su propio riesgo y sujeto a sus propios términos.

8. Exención de Garantías

  • La Plataforma se proporciona "TAL CUAL" y "SEGÚN DISPONIBILIDAD" sin garantías de ningún tipo
  • No garantizamos que la Plataforma será ininterrumpida, libre de errores, segura o disponible en todo momento
  • No garantizamos la precisión, integridad o confiabilidad de ningún contenido
  • No garantizamos que la Plataforma esté libre de virus o componentes dañinos
  • No hacemos garantías sobre la calidad, seguridad o legalidad de los servicios de transporte proporcionados por Conductores

9. Limitación de Responsabilidad

En la máxima medida permitida por la ley peruana:

  • Transportbidder no es responsable de daños indirectos, incidentales, especiales, consecuentes o punitivos
  • No somos responsables de pérdidas o daños resultantes de su uso o incapacidad de usar la Plataforma
  • No somos responsables de actos u omisiones de proveedores de servicios terceros (Conductores, procesadores de pago)
  • Nuestra responsabilidad máxima agregada no excederá S/. 1,000.00 (mil Soles) o el monto pagado a Transportbidder en los últimos 12 meses, lo que sea mayor

Esto no afecta derechos irrenunciables del consumidor bajo la Ley 29571.

10. Indemnización

Acepta indemnizar y mantener indemne a Transportbidder S.A.C. de cualquier reclamo, daño o gasto derivado de su uso de la Plataforma, su violación de estos Términos o de cualquier ley aplicable o derechos de terceros.

Su privacidad es importante para nosotros. Por favor revise nuestras políticas:

12. Ley Aplicable y Jurisdicción

Estos Términos se rigen por las leyes de la República del Perú. Las disputas se resolverán mediante:

  1. Negociación de buena fe
  2. Mediación en un centro reconocido por el Ministerio de Justicia
  3. Arbitraje vinculante en la Cámara de Comercio de Lima (si no se resuelve en 30 días), conducido en español, con sede en Lima

Conserva el derecho a presentar reclamos ante INDECOPI u otras autoridades competentes.

13. Cambios a estos Términos

Nos reservamos el derecho de modificar estos Términos en cualquier momento. Los cambios son efectivos al publicarse en la Plataforma. Los cambios materiales se resaltaran con una fecha de vigencia actualizada. El uso continuado después de los cambios constituye aceptación.

14. Divisibilidad

Si alguna disposición de estos Términos se considera invalida o inaplicable, las disposiciones restantes permanecen en pleno vigor y efecto.
